The Register of Shares contains basic information on public offerings of shares and on admission of shares to trading on a regulated market or introduction of shares to trading in an alternative trading system (ATS) which have taken place after 1 January 2020 (the scope of information entered in the Register of Shares is defined in the Regulation of the Minister of Finance of 24 December 2019 on the method of keeping the Register of Shares by Komisja Nadzoru Finansowego - available in polish).

The Register does not cover other securities such as bonds, covered bonds, investment certificates.

It is the issuers of shares that make entries in the Register. To enable the issuer to make an entry in the case of a public offering conducted by an offeror (a legal entity or a natural person that offers securities, of which they are the owner, to the public), the offeror is required to inform the issuer of the conducted public offering of shares within the statutory time limit.

If shares have been admitted to trading on a regulated market based on an application  submitted by an entity other than the issuer of the shares, this entity has the obligation to record the shares in the Register.

Entries are exempt from the registration fee.

Issuers must make an entry in the Register within 14 days from the day of allotment of shares or from the day of admission of shares to trading on a regulated market or introduction of shares to trading in an ATS, respectively. If a public offering is conducted for shares which are subsequently admitted to trading on a regulated market or introduced to trading in an ATS, the issuer is required to make two entries: one concerning the public offering and the second concerning the admission or introduction of shares to trading.

Entries in the Register should be made from a web browser through an application provided on a website rejestracjaakcji.knf.gov.pl. Entries should be made by persons authorised by issuers, following prior authentication by means of a trusted profile.

To obtain access to the application the issuer should submit a request for access in electronic form (the request form is available at formularzesea.knf.gov.pl). The request must be signed by means of a qualified electronic signature or a trusted profile, in accordance with the powers to represent the issuer, and then it must be sent to the UKNF through the ePUAP system.

The UKNF will verify an entry for completeness and then it will publish the entry within 5 working days in the public register available on the KNF website at ewidencjaakcji.knf.gov.pl

In the case of public offerings and admission of shares to trading on a regulated market or introduction of shares to trading in an ATS that took place before 1 January 2020, the issuers are not required to make a re-entry in the Register.
